In a recent legal development, Daryl Hall has taken legal action against his longtime music partner, John Oates. The lawsuit contends that Oates’ plan to sell his share of their joint venture, Whole Oats Enterprises LLP, would breach the terms of their established business agreement. The legal maneuver has led to a temporary restraining order, issued by a Nashville chancery court judge on November 16.

Chancellor Russell Perkins issued the restraining order, blocking the sale until an arbitrator in a separately filed case reviews the deal or until the judge’s order expires, typically within 15 days. The lawsuit, initially filed under seal, has only recently seen some details made public. Hall’s attorneys argue that the dispute involves confidential terms under an agreement and a confidential arbitration process.
Allegations and Arbitration
The lawsuit alleges that Hall initiated an arbitration process on November 9 against Oates and other defendants, including Oates’ wife, Aimee Oates, and Richard Flynn, co-trustees of Oates’ trust. The aim was to prevent them from selling their share to Primary Wave Music. The suit claims that Oates’ team, at the time, indicated the sale could close within days, even before an arbitrator had been selected to address the conflict.
Breach of Contract
According to the lawsuit, Oates’ team entered into a letter of intent with Primary Wave Music for the sale, suggesting a breach of contract. The lawsuit contends that the letter disclosed the music duo’s business agreement to Primary Wave Music, violating a confidentiality provision.
What’s at Stake?
While the lawsuit doesn’t specify the details of what’s at stake in the sale, Primary Wave has held a “significant interest” in Hall and Oates’ song catalog for over 15 years. Hall had expressed disappointment with the sale of his back catalog in a 2021 interview with Sky News.

The case is scheduled to be heard on November 30. As of now, it remains unclear whether the dispute primarily revolves around the music catalog of Hall & Oates, renowned for hits like “Private Eyes,” “Rich Girl,” and “Maneater.”
